B2B Zone · version 1.1 of 12 October 2026
Terms and Conditions of the B2B Zone for Advertising Agencies
This is an English translation of the Polish Regulamin strefy B2B, provided for convenience only. The Polish version is the only legally binding version; in the event of any discrepancy between language versions, the Polish version shall prevail.
§ 1. General provisions
- These Terms and Conditions (the “Terms”) set out the rules for using the B2B zone available at www.wielkareklama.eu/b2b (the “B2B Zone”) and the rules for concluding and performing contracts of sale and contracts for specific work (umowa o dzieło) relating to advertising products and services.
- The B2B Zone is operated by Janusz Ciosek, carrying on business under the name P.P.H.U. Janusz Ciosek WIELKA REKLAMA, ul. Popiełuszki 13, 98-300 Wieluń, Poland, Polish tax ID (NIP) 832-000-27-20, EU VAT number PL8320002720 (“Wielka Reklama”). Contact: b2b@wielkareklama.eu, +48 455 455 460.
- The B2B Zone is intended exclusively for entrepreneurs within the meaning of Article 431 of the Polish Civil Code, in particular advertising agencies, graphic design studios, print shops and print brokers (each a “Partner”), including entrepreneurs established outside the Republic of Poland and registered in their country of establishment (each a “Foreign Partner”). The B2B Zone is not intended for consumers.
- A Partner who is a natural person carrying on business declares, upon registration and with each order, that it enters into contracts in direct connection with its business activity and that such contracts are of a professional nature for it (purchase for resale or for the performance of its customers’ orders). To the extent that a contract is nevertheless not of a professional nature for the Partner, the mandatory provisions protecting entrepreneurs with consumer-like rights (Article 3855 of the Polish Civil Code and Article 7aa of the Polish Consumer Rights Act) shall apply, and any provisions of these Terms inconsistent with them shall not bind that Partner.
- Use of the B2B Zone requires a device with internet access, an up-to-date web browser with JavaScript and the cookies necessary for logging in enabled, and an active e-mail address.
- The B2B Zone is available in Polish, English and German, and prices may be displayed in Polish zloty (PLN) or in euro (EUR). The choice of language and display currency does not change the rules laid down in these Terms.
§ 2. Definitions
- Account — the Partner’s individual access to the B2B Zone, protected by a login (e-mail address) and password.
- B2B Price List — the net trade prices visible after logging in, together with quantity breaks, configurators and partner levels.
- Order — a declaration made by the Partner via the B2B Zone with a view to concluding a contract.
- End Customer — a customer of the Partner to whom the Partner arranges delivery or for whom the Partner performs an order.
- Business Days — Monday to Friday, excluding public holidays in Poland.
- Foreign Partner — a Partner whose registered office (or, in the case of a natural person, principal place of business) is located outside the Republic of Poland.
- Order Rate — the EUR/PLN exchange rate stated in the Order, fixed at the moment the Order is placed and used to convert prices from PLN into EUR for that Order.
- VIES — the VAT Information Exchange System operated by the European Commission, used to verify VAT identification numbers in the European Union.
§ 3. Registration and Account
- Access to the B2B Zone requires the submission of an application containing company details and a tax identification number. Wielka Reklama verifies the application (including in the Polish VAT taxpayer register (“white list”), CEIDG or KRS, and with regard to the applicant’s business profile) and may accept or reject it without giving reasons. There is no entitlement to the conclusion of an Account agreement.
- Upon acceptance, the Partner receives a login and password at the e-mail address provided. The Partner shall change the password after the first login, shall not disclose the login data to unauthorised persons and shall promptly report any suspected disclosure. Any acts performed using the Account shall be deemed acts of the Partner.
- The Account agreement is concluded for an indefinite period and is free of charge. The Partner may terminate it at any time by sending a message to b2b@wielkareklama.eu. Wielka Reklama may terminate it with 14 days’ notice, or with immediate effect in the event of a breach of these Terms (in particular § 4), payment arrears or the provision of false information. Termination does not affect orders already accepted for performance.
- Wielka Reklama may temporarily block the Account while a breach or payment arrears are being clarified.
- A Foreign Partner may obtain access to the B2B Zone only as an entrepreneur registered in its country of establishment. In the application it shall state its country of establishment and identification number: in European Union Member States — its EU VAT number (if it has one); in the United Kingdom — its Companies House company number; in Switzerland — its UID number (CHE); in Norway — its organisation number in the Brønnøysund Register Centre (Brønnøysundregistrene); in other countries — its number in the national business register.
- Wielka Reklama verifies a Foreign Partner in particular through VIES, through the registers referred to in paragraph 5, or on the basis of a current extract from the commercial register or an equivalent official document, the submission of which it may request (together with a translation into Polish, English or German). Wielka Reklama may request additional information about the business profile and may refuse an application without giving reasons; the last sentence of paragraph 1 applies.
- The Partner, in particular a Foreign Partner, shall promptly inform Wielka Reklama of any change to the data provided in the application, including the invalidation of its EU VAT number, a change of country of establishment, liquidation or removal from the register. Until so informed, Wielka Reklama may rely on the existing data, subject to § 9a.
§ 4. Confidentiality of the B2B Price List
- The B2B Price List, trading terms and partner levels constitute trade secrets of Wielka Reklama within the meaning of Article 11(2) of the Polish Act on Combating Unfair Competition and are made available to the Partner solely for its own business.
- The Partner undertakes not to publish the B2B Price List or any part of it (in particular on the internet, in public offers or in materials for End Customers stating the purchase price), not to disclose it to third parties, including other print shops and brokers, and not to retrieve it by automated means (scraping, bots).
- In the event of a culpable breach of paragraph 2, Wielka Reklama may block the Account with immediate effect and claim a contractual penalty of PLN 5,000 net (for a Partner invoiced in EUR — the equivalent of that amount in EUR at the National Bank of Poland average rate on the date of the demand for payment) for each breach. Wielka Reklama may claim damages exceeding the contractual penalty under general principles.
- Wielka Reklama does not disclose to the Partner’s End Customers that production is carried out by Wielka Reklama and does not contact them for direct sales purposes, unless the Partner consents or the End Customer approaches Wielka Reklama on its own initiative without connection to the given order. At the Partner’s request, the parties shall conclude a separate non-disclosure agreement (NDA).
§ 5. Prices and partner levels
- Prices in the B2B Zone are net prices calculated in Polish zloty (PLN); VAT is added at the applicable rate, subject to § 9a.
- Prices calculated in the B2B Zone (including in configurators) are for information purposes and constitute an invitation to conclude a contract within the meaning of Article 71 of the Polish Civil Code, not an offer within the meaning of Article 66 of the Polish Civil Code. The binding price is the price confirmed by Wielka Reklama in accordance with § 6(3).
- Items marked “on request” or priced “from” are quoted individually; their price is not included in the order value until the Partner accepts the quote.
- The partner level (Partner, Partner Plus, Partner Premium) is determined automatically on the basis of the net turnover of non-cancelled orders over the last 90 days. Wielka Reklama may grant a higher level individually. The level discount applies to orders placed after the level has been reached and does not cover items marked “no discount” (e.g. labels).
- The minimum order value is PLN 500 net (for an Order in EUR — the equivalent of that amount at the Order Rate), except for requests for individual quotes.
- Wielka Reklama may change the B2B Price List at any time; changes do not apply to orders already confirmed.
- The Partner may choose to have prices displayed and invoiced in euro (EUR). Prices in EUR are a conversion of the prices calculated in PLN at the Order Rate. The Order Rate is fixed at the moment the Order is placed, is stated in the Order and in its confirmation, and remains unchanged until the Order has been fully settled, including in the event of subsequent changes in exchange rates. Prices in EUR displayed before an Order is placed are indicative.
- An Order placed in EUR is invoiced and payable in EUR. Surcharges, including delivery costs referred to in § 10, and individually quoted items are converted into EUR at the Order Rate unless they were quoted directly in EUR.
§ 6. Orders and conclusion of contract
- The Partner places an Order in the B2B Zone, stating the specification, the delivery address, the date by which the product is to reach the End Customer, and a link to the files.
- Placing an Order constitutes an offer by the Partner. Wielka Reklama acknowledges receipt of the Order by automatic e-mail, which does not yet constitute acceptance of the offer.
- The contract is concluded when Wielka Reklama confirms the Order — by changing its status to “Confirmed” in the B2B Zone or by e-mail — or when it commences performance. Wielka Reklama may refuse to accept an Order or propose a change of price, deadline or technology; a proposed change constitutes a new offer requiring the Partner’s acceptance.
- The date stated by the Partner (“date at customer”) is for information only until confirmed by Wielka Reklama. Production times are counted in Business Days from the date of approval of correct files and — where prepayment is required — from the date the payment is credited. For deliveries outside Poland, the date at customer also includes transport and customs clearance time, over which Wielka Reklama has no control.
- The Partner may cancel an Order free of charge until it is confirmed. After confirmation, cancellation requires Wielka Reklama’s consent; the Partner shall then bear the costs already incurred (materials, preparation, labour), not exceeding the value of the Order.
- Products are made to the Partner’s specification (non-prefabricated goods). As an entrepreneur, the Partner has no statutory right to withdraw from a distance contract.
§ 7. Files, designs and rights to content
- The Partner supplies files by link (WeTransfer, Google Drive, Dropbox or similar) in accordance with the technical specification provided in the B2B Zone. Wielka Reklama does not store the Partner’s files longer than necessary for performance and any complaint, and in any case no longer than 6 months.
- Wielka Reklama checks files for technical aspects only (resolution, bleed, colour space, format). It is not responsible for content, spelling, accuracy of data or conformity of the design with the End Customer’s expectations, including the correctness of texts in foreign languages.
- The Partner represents that it holds the rights to the content supplied (including economic copyrights, trade mark rights and image rights) and that its use does not infringe third-party rights or the law. If a third party raises claims against Wielka Reklama in connection with the Partner’s content, the Partner shall indemnify Wielka Reklama and bear reasonable costs, including damages awarded and legal fees.
- Wielka Reklama may refuse to produce content that is unlawful, contrary to public morality or infringes third-party rights.
- Graphic designs created by Wielka Reklama on the Partner’s instructions pass to the Partner — together with the economic copyrights in the fields of exploitation comprising recording, reproduction by any technique, placing on the market and making available to the public — upon payment of the full remuneration. Open (source) files are provided for an additional fee unless otherwise agreed.
§ 8. Quality and tolerances
- Print colours may differ from the image on screen and from prints made on other devices. Without a contract proof, the permissible colour deviation is up to ΔE 5; differences within these limits do not constitute a defect.
- The permissible dimensional tolerance for large-format prints is ±1% (but not less than ±5 mm). For products ordered in runs (e.g. tapes, labels), the quantity tolerance stated in the configurator applies (for printed tapes up to ±15%) and is invoiced according to the quantity actually delivered.
- Items marked “subject to confirmation by a technologist” may require a change of technology; Wielka Reklama will inform the Partner before production.
- Products are manufactured in accordance with the requirements applicable in Poland. A Foreign Partner is responsible for determining whether the product (including labelling, instructions, electrical and fire-safety requirements) meets any specific requirements applicable in the country of destination and for informing Wielka Reklama of them before placing the Order.
§ 9. Payments
- The Partner’s first three orders are performed after a prepayment based on a pro forma invoice has been credited. Subsequent orders — after verification — are performed on the basis of a VAT invoice with a 14-day payment term. Wielka Reklama may grant or withdraw a credit limit, in particular in the event of late payments.
- Invoices and pro forma invoices are made available in the B2B Zone and sent to the Partner’s e-mail address. The Partner accepts invoices in electronic form and, once the obligation takes effect, structured invoices issued via the Polish National e-Invoicing System (KSeF).
- In the event of late payment, Wielka Reklama is entitled to statutory interest for late payment in commercial transactions and to compensation for recovery costs in accordance with the Polish Act of 8 March 2013 on Counteracting Excessive Delays in Commercial Transactions. Wielka Reklama may suspend the performance of further orders until the arrears have been settled.
- Until the full price has been paid, the products remain the property of Wielka Reklama (retention of title, Article 589 of the Polish Civil Code).
- Orders of a Foreign Partner, irrespective of their number, are performed after a prepayment has been credited — on the basis of a pro forma invoice or an online payment in the B2B Zone — unless Wielka Reklama individually grants the Foreign Partner deferred payment terms or a credit limit in documentary form. The second and third sentences of paragraph 1 apply accordingly to any deferral granted.
- Payments for Orders in EUR shall be made in EUR to Wielka Reklama’s EUR bank account stated on the invoice or pro forma invoice, and payments for Orders in PLN shall be made in PLN to its PLN account. The Partner bears the commissions and charges of its own bank and of any intermediary banks, so that the full amount due is credited to Wielka Reklama’s account. Wielka Reklama may accept payment in another currency or to another account, in which case any resulting exchange differences and costs shall be borne by the Partner.
- On invoices issued in EUR, the amount of VAT (if any) is additionally stated in PLN at the exchange rate required by the Polish VAT Act. This conversion is for tax purposes only and does not change the amount payable by the Partner in EUR as determined at the Order Rate.
§ 9a. VAT, export and customs
- Sales to a Partner established in Poland are subject to VAT at the rate applicable to the goods or services concerned (as a rule, 23%).
- A supply of goods to a Partner from another EU Member State who uses a valid EU VAT number registered in VIES and stated in the Order, where the goods are dispatched or transported from Poland to another Member State, constitutes an intra-Community supply of goods taxed at the 0% rate; the Partner accounts for the tax on the acquisition in the Member State of destination. Services supplied to such a Partner whose place of supply is the Partner’s country of establishment are invoiced without Polish VAT, and the tax is accounted for by the Partner (reverse charge).
- A Partner referred to in paragraph 2 shall: (a) keep its EU VAT number active throughout the performance of the Order; (b) at Wielka Reklama’s request, within 14 days, provide confirmation of receipt of the goods in the Member State of destination (in particular a signed statement of receipt containing the data required by law, a CMR consignment note or another transport document); (c) promptly notify any circumstances that may preclude the application of the 0% rate.
- If the Partner’s EU VAT number is not valid in VIES on the date of invoicing or supply, the Partner has no EU VAT number or fails to perform its obligations under paragraph 3(b), and the application of the 0% rate consequently proves inadmissible, Wielka Reklama shall charge Polish VAT at the rate applicable to a domestic supply in Poland (as a rule, 23%) and may issue a corrective invoice. The Partner shall pay the amount of such tax and reimburse Wielka Reklama for any interest and other public charges incurred as a result.
- A supply of goods to a Partner established outside the European Union, in which the goods are exported from the territory of the European Union, constitutes an export of goods taxed at the 0% rate, provided that Wielka Reklama receives confirmation of exit (in particular the customs office’s message confirming exit). If confirmation of exit is not obtained within the statutory time limit, in particular where the goods are collected by the Partner or its carrier without an export declaration, paragraph 4 applies accordingly.
- Customs duties, import VAT, excise duty, fees charged by customs agents and carriers for clearance, and any other charges and formalities in the country of destination shall be borne and performed by the Partner (or, at the Partner’s expense, by the End Customer as consignee), unless otherwise agreed in documentary form. The costs of returning or storing a consignment refused by the consignee or not cleared for reasons attributable to the Partner or the consignee shall be borne by the Partner.
- The VAT treatment is determined upon registration on the basis of the Partner’s country of establishment and the result of the EU VAT number verification, is recorded in the Order and may be re-verified before the invoice is issued. Information on the VAT treatment displayed in the B2B Zone is for information only; the tax treatment required by law is binding.
§ 10. Delivery and white-label shipping
- Courier delivery within Poland is included in the order price. Oversized consignments (any side exceeding 2 m), pallet and international consignments and dedicated transport are quoted individually — Wielka Reklama presents any surcharge to the Partner before dispatch.
- At the Partner’s request, the consignment is shipped in neutral packaging without Wielka Reklama’s markings, materials or documents, with the Partner’s details as the sender (white label).
- Upon handover of the product to the carrier, benefits and burdens and the risk of accidental loss of or damage to the product pass to the Partner (Articles 548 and 544 of the Polish Civil Code). Wielka Reklama shall cooperate with the Partner in pursuing claims against the carrier.
- The Partner or the End Customer should inspect the consignment upon receipt and report transport damage to the carrier in a damage report and to Wielka Reklama within 2 Business Days of delivery, with photographs of the packaging and the product.
- The cost of delivery to an address outside Poland is charged at the carrier’s quote for the consignment concerned (taking into account its weight, dimensions and country of destination) and added to the Order before dispatch. Wielka Reklama presents the delivery cost to the Partner before dispatch; where prepayment applies, dispatch takes place after that cost has been paid. Wielka Reklama books the carriage in its own name at the Partner’s expense, using the intermediary service Furgonetka.pl and courier companies or other carriers.
- Unless the parties agree otherwise in documentary form, deliveries to addresses outside Poland are made FCA Wieluń (Wielka Reklama’s premises) Incoterms® 2020: Wielka Reklama hands over the goods, prepared for shipment and — for exports outside the European Union — together with the documents required for export clearance, to the first carrier at its premises, and the risk of accidental loss of or damage to the goods passes to the Partner upon such handover. The fact that Wielka Reklama arranges the carriage does not change the moment at which risk passes.
- For consignments exported outside the European Union, the documents required by customs law (in particular an invoice showing Wielka Reklama as exporter) are attached to the consignment, which may limit the possibility of white-label shipping under paragraph 2. The Partner shall ensure that the consignee provides the carrier with the data and documents required for import clearance.
§ 11. Complaints and liability
- The Partner shall submit a complaint within 14 days of delivery to b2b@wielkareklama.eu or via the B2B Zone, stating the order number, a description of the defect and photographs; at Wielka Reklama’s request it shall make the defective product or a sample available. Wielka Reklama shall process the complaint within 5 Business Days of receiving a complete notification.
- If the complaint is upheld, Wielka Reklama shall, at its option, remake the product, remedy the defect, reduce the price or refund the payment for the defective part of the order.
- Pursuant to Article 558 § 1 of the Polish Civil Code, the parties exclude Wielka Reklama’s liability under the statutory warranty for defects (rękojmia); Wielka Reklama’s liability for product quality is governed exclusively by this section.
- Wielka Reklama’s liability towards the Partner on any legal basis is limited to the net value of the order to which the damage relates and does not include lost profits, contractual penalties agreed by the Partner with End Customers or indirect damage. These limitations do not apply to damage caused intentionally or to personal injury.
- Wielka Reklama is not liable for delays or non-performance caused by force majeure (including power grid failures, decisions of authorities, weather events, delays of carriers and material suppliers beyond Wielka Reklama’s control) — the performance date is then extended accordingly. This also applies to delays resulting from customs inspections and clearance.
- The Partner is responsible for obtaining the consents and permits required to install the advertisement (including the property owner’s consent, building notification or permit, heritage conservation approvals, local landscape resolutions or their equivalents in the country of destination), unless obtaining them has been separately commissioned from Wielka Reklama. Connection of illuminated signage to a 230 V installation shall be performed by a duly qualified person.
- Where a complaint concerning a product delivered outside Poland is upheld, Wielka Reklama shall bear the cost of reshipping the replaced or repaired product to the same address; any customs duties and import taxes on such a consignment shall be borne by the Partner unless otherwise agreed.
§ 12. Personal data
- Wielka Reklama is the controller of the personal data of persons representing the Partner and of its employees. Details of the processing are set out in the Privacy Policy.
- With regard to End Customer data provided for delivery purposes (name or business name of the consignee, address, telephone number, contact person), the Partner is the controller and Wielka Reklama processes such data on its behalf as a processor, on the basis of this section, which constitutes a data processing agreement within the meaning of Article 28 GDPR.
- Wielka Reklama processes the entrusted data solely for the purpose of performing and settling the order and handling complaints, on the Partner’s documented instructions (placing an order); it ensures the confidentiality of authorised persons, applies the security measures required by Article 32 GDPR, assists the Partner in fulfilling data subjects’ rights and notifies the Partner without undue delay — and no later than within 48 hours — of any personal data breach.
- The Partner grants general authorisation for Wielka Reklama to engage sub-processors: courier companies and carriers (including via the Furgonetka.pl service), hosting and e-mail providers and production subcontractors, to the extent necessary to perform the order. Wielka Reklama shall announce any intended change of sub-processors in the Privacy Policy, and the Partner may object.
- After performance of the order, Wielka Reklama deletes or anonymises the entrusted data, except for data it is required to retain by law (e.g. transport and accounting records) or until claims become time-barred. The Partner may carry out a compliance audit on an agreed date, at its own expense, no more than once a year.
- Where the Partner specifies a delivery address in a country outside the European Economic Area, this constitutes a documented instruction to transfer the consignee’s data to the carrier and — to the extent necessary for delivery and customs clearance — to entities in the country of destination. The Partner warrants that it has a legal basis for such transfer.
§ 13. Final provisions
- Wielka Reklama may amend these Terms for important reasons (changes in law, in the scope of services, in technology or in trading conditions). It shall inform the Partner of any amendment by e-mail and in the B2B Zone at least 14 days before it takes effect. Amendments do not apply to orders confirmed before they take effect. A Partner who does not accept the amendments may terminate the Account agreement before they take effect.
- Communication between the parties takes place electronically — via the B2B Zone and to the e-mail addresses provided upon registration — in Polish, English or German.
- Matters not regulated herein are governed by Polish law, in particular the Polish Civil Code, including contracts with Foreign Partners. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
- Disputes shall be settled by the common court having jurisdiction over Wielka Reklama’s registered office, subject to mandatory provisions protecting entrepreneurs with consumer-like rights. In relation to Foreign Partners, this provision constitutes an agreement conferring exclusive jurisdiction on the Polish courts (in particular within the meaning of Article 25 of Regulation (EU) No 1215/2012 and Article 23 of the 2007 Lugano Convention).
- If any provision of these Terms proves invalid or ineffective, the remaining provisions shall remain in force, and the parties shall replace it with a provision that most closely reflects its economic purpose.
- These Terms have been drawn up in Polish. The English and German versions are translations provided for the convenience of Partners. In the event of any discrepancy between language versions, the Polish version shall prevail.
- Version 1.1 of these Terms applies from 12 October 2026. Acceptance of the Terms (including the version number and date) is recorded upon registration and with each order.
